Welcome to MarketMate. These Terms of Service ("Terms") govern your access to and use of our App Store and Apple Search Ads management platform. By using MarketMate, you agree to be bound by these Terms. Please read them carefully.

1. Acceptance of Terms

By creating an account or accessing MarketMate, you acknowledge that you have read, understood, and agree to these Terms, including our Privacy Policy. If you do not agree, you may not use our services.

You represent that you are at least 18 years old and have the legal capacity to enter into this agreement. If you are using MarketMate on behalf of a company or organization, you warrant that you have the authority to bind that entity to these Terms.

2. Service Description

MarketMate is a SaaS platform that provides:

  • AI-powered translation services for App Store metadata and content
  • Apple Search Ads campaign management and optimization tools
  • App Store Connect integration and automation
  • Analytics, reporting, and performance tracking
  • Additional features as we develop and release them

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice.

3. User Accounts and Responsibilities

3.1 Account Creation

  • You must provide accurate and complete registration information
  • You are responsible for maintaining the security of your account credentials
  • You must notify us immediately of any unauthorized access
  • One account per user or organization is permitted

3.2 Account Security

You are solely responsible for all activities that occur under your account. We recommend using strong passwords and enabling two-factor authentication where available. MarketMate is not liable for any loss or damage arising from your failure to maintain account security.

3.3 API Credentials

When you connect your App Store Connect or Apple Search Ads accounts, you grant us limited access to perform services on your behalf. You remain responsible for maintaining valid API credentials and ensuring compliance with Apple's terms.

4. Acceptable Use Policy

You agree NOT to:

  • Violate any laws, regulations, or third-party rights
  • Use our services for fraudulent or malicious purposes
  • Attempt to bypass security measures or access restricted areas
  • Reverse engineer, decompile, or disassemble our platform
  • Scrape, spider, or harvest data using automated means
  • Overload our infrastructure or interfere with service availability
  • Impersonate others or misrepresent your affiliation
  • Upload malicious code, viruses, or harmful content
  • Resell or redistribute our services without authorization
  • Violate Apple's Platform Policies or App Store Review Guidelines

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account.

5. Billing and Payment

5.1 Subscription Plans

MarketMate offers various subscription plans with different features and usage limits. Pricing is available on our website and may be changed with 30 days' notice to existing subscribers.

5.2 Payment Terms

  • Subscriptions are billed in advance on a monthly or annual basis
  • Payment is due upon subscription renewal unless cancelled
  • All fees are non-refundable except as required by law
  • Failed payments may result in service suspension
  • You are responsible for any taxes applicable to your subscription

5.3 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. No refunds will be issued for partial months or unused features.

6. Intellectual Property Rights

6.1 Our Property

MarketMate and all related trademarks, logos, software, content, and intellectual property are owned by MarketMate, Inc. or our licensors. You receive a limited, non-exclusive, non-transferable license to access and use our services for their intended purpose.

6.2 Your Content

You retain ownership of all content you upload to MarketMate (app metadata, descriptions, etc.). By using our services, you grant us a limited license to process, store, and display your content solely to provide our services. We will not use your content for any other purpose without your consent.

6.3 Feedback

If you provide feedback, suggestions, or ideas about MarketMate, we may use them without any obligation to compensate you. You grant us a perpetual, worldwide, royalty-free license to use such feedback.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • MarketMate is provided "AS IS" without warranties of any kind, express or implied
  • We do not guarantee uninterrupted, error-free, or secure access to our services
  • We are not responsible for third-party services (Apple, DeepL, Google Translate)
  • Our total liability shall not exceed the amount you paid us in the past 12 months
  • We are not liable for indirect, incidental, consequential, or punitive damages
  • We are not responsible for loss of data, revenue, profits, or business opportunities

Some jurisdictions do not allow limitation of liability for certain damages, so some of these limitations may not apply to you.

8. Indemnification

You agree to indemnify, defend, and hold harmless MarketMate, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use or misuse of our services
  • Your violation of these Terms or applicable laws
  • Your content or apps submitted through our platform
  • Your violation of third-party rights, including Apple's policies

9. Termination

We reserve the right to suspend or terminate your account at any time if:

  • You violate these Terms or our Acceptable Use Policy
  • Your account is inactive for an extended period
  • We are required to do so by law or legal process
  • Continuing to provide services creates legal or security risks

Upon termination, you will lose access to your account and data. We may retain certain information as required by law or for legitimate business purposes. You remain responsible for all charges incurred prior to termination.

10. Changes to Terms

We may update these Terms from time to time to reflect changes in our services or legal requirements. We will notify you of material changes via email or through the platform at least 30 days before they take effect. Your continued use of MarketMate after changes become effective constitutes acceptance of the updated Terms.

11. Governing Law and Dispute Resolution

11.1 Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

11.2 Dispute Resolution

Any disputes arising from these Terms or your use of MarketMate shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except as prohibited by law.

11.3 Class Action Waiver

You agree that disputes will be resolved on an individual basis and waive any right to participate in class action lawsuits or class-wide arbitration, except where prohibited by law.

12. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and MarketMate
  • Severability: If any provision is found invalid, the remaining provisions remain in effect
  • No Waiver: Our failure to enforce any right does not waive that right
  • Assignment: You may not assign these Terms without our consent
  • Force Majeure: We are not liable for delays caused by circumstances beyond our control
  • Export Compliance: You agree to comply with all applicable export control laws
